FATHER'S FARMERS AFFILIATE PROGRAM AGREEMENT This Affiliate Program Agreement ("Agreement") is entered into between Father's Farmers ("Father's Farmers", "we", or "us") and the affiliate identified in the application ("Affiliate", "you") upon approval of your affiliate application. 1. PROGRAM DESCRIPTION Father's Farmers operates an affiliate marketing program that allows individuals to earn commissions on eligible sales generated through their unique referral link or code. Affiliates promote Father's Farmers products and earn a percentage of eligible order totals attributed to their referral. 2. COMMISSION STRUCTURE - The default commission rate is 10% of eligible order totals, unless otherwise configured in your affiliate account. - Commission is calculated on the order subtotal (product price x quantity), excluding shipping, taxes, and fees. - Commission is earned only on completed, paid orders. Cancelled, refunded, or fraudulent orders do not earn commission and will result in commission adjustment or reversal. 3. ATTRIBUTION - Referrals are tracked for 30 days from the initial click on your referral link. - Attribution follows a first-touch model: the first affiliate whose link the customer clicked receives credit for the order. - Attribution is determined by the affiliate code stored in the customer's browser at the time of checkout. Father's Farmers is not responsible for attribution failures due to browser settings, ad blockers, or cookie clearing. 4. PAYOUT - The minimum payable balance is $50. Balances below this threshold accumulate until reached. - Payouts are processed according to the method agreed between the affiliate and Father's Farmers. - Commissions transition through statuses: pending (order placed) → approved (order finalized) → payable (minimum threshold met) → paid (payout processed). - Father's Farmers reserves the right to withhold or reverse commissions for orders that are refunded, disputed, or fraudulent. 5. AFFILIATE RESPONSIBILITIES - Promote Father's Farmers products honestly and ethically. - Use only the promotional materials provided or approved by Father's Farmers. - Do not make health, medical, or therapeutic claims about the products beyond what Father's Farmers has published. - Comply with all applicable laws, including FTC disclosure requirements for affiliate marketing. - Clearly disclose your affiliate relationship in any promotional content. 6. PROHIBITED ACTIVITIES - Spamming or unsolicited mass messaging. - Self-referrals or purchases made through your own affiliate link. - Bidding on "Father's Farmers" or related trademark terms in search engine advertising. - Deceptive, misleading, or false advertising. - Creating websites or social media accounts that impersonate Father's Farmers. - Using coupon or discount sites to intercept traffic. - Any activity that could damage the reputation of Father's Farmers. Violation of these prohibitions may result in immediate suspension, commission forfeiture, and termination of your affiliate account. 7. INTELLECTUAL PROPERTY Father's Farmers grants the Affiliate a limited, non-exclusive, revocable license to use provided promotional materials (images, text, logos, referral links) solely for promoting Father's Farmers products. The Affiliate may not modify brand assets or use them for any other purpose. All rights not expressly granted are reserved by Father's Farmers. 8. TERM AND TERMINATION - This Agreement is effective upon approval of your affiliate application and continues until terminated by either party. - Either party may terminate this Agreement at any time with written notice. - Upon termination, the Affiliate's referral link is deactivated. Commissions on orders completed before termination will be paid if they meet the payout threshold. 9. INDEPENDENT CONTRACTOR The Affiliate is an independent contractor, not an employee, agent, or representative of Father's Farmers. The Affiliate is responsible for their own taxes and compliance with applicable laws. 10. DISCLAIMER AND LIMITATION OF LIABILITY Father's Farmers is not liable for any indirect, incidental, or consequential damages arising from this Agreement. Our maximum liability is limited to the total commissions earned by the Affiliate in the 3 months preceding the claim. 11. MODIFICATION Father's Farmers may update these terms at any time. Continued participation in the program after changes constitutes acceptance of the updated terms. Material changes will be communicated to active affiliates. 12. GOVERNING LAW This Agreement is governed by the laws of the State of Texas. Version: 1.0 Date: August 2026
